Carbotura offers the Commonwealth of Puerto Rico a 30-year Circular Supply Agreement under which Carbotura builds, owns, and operates an Advanced Circular Manufacturing facility at territorial scale: 400 TPD at Year 2 COD, reaching 2,000 TPD in Year 5.
The Commonwealth pays a Total Material Conversion Fee of $120 per ton (base, escalating 2.5% annually). Against a Full Whole-of-Disposal Cost estimated at $145/ton, this is a Year 1 gross fiscal improvement of $25/ton, before any Circular Royalty™ receipt.
Starting in Year 2, the Territory receives Circular Royalty™ payments at 120% of the current-year Beneficiation Fee (Year 1 base $144/ton initial, escalating +1pp annually).
Zero territorial capital commitment. Total facility CapEx of approximately $1.17B sits on the Carbotura SPV balance sheet under US GAAP. Financial close depends on a structured credit architecture that synthesizes investment-grade project credit despite the Commonwealth's sovereign rating position.
The commercial offer is structured to be simultaneously a tax-free manufacturing engagement (Act 60 Chapter 6 decree via OITE / DDEC) and a federally-backstopped infrastructure investment (CDBG-DR / HUD §108 / EPA SRF / DFC credit layer). These instruments are mutually-reinforcing preconditions — not parallel features.
§1 — Commercial Structure and Decision Window§1 — Estructura Comercial y Ventana de Decisión
Advanced Circular Manufacturing is a manufacturing process, not a waste-management activity. Microwave Catalytic Reforming operates in an anoxic, oxygen-free, sub-atmospheric environment — mechanistically incompatible with combustion or biological degradation. ACM does not fit within the waste domain and does not operate under waste-domain statutes. The Regulatory Predicate Transition (RPT) — also framed as the dewaste pathway — is the coordinated regulatory shift from legacy disposal-predicate statutes onto manufacturing-predicate classifications. 100% elemental recycling of the municipal material stream requires this transition. Manufacturing NAICS 325180 · 325998 · 327992 · 331110 · 331314 · 331492 (6-code ACM set) plus EPA RCRA §1004(27) / 40 CFR §261.2(e) exclusion pathway in the US; ISIC Rev.4 20-25 + UN CPC 89 internationally. In many jurisdictions the required authorities already exist in latent form within existing statutes; in others the transition requires primary-authority amendments. The Joint Working Group phase includes a regulatory engagement workstream to shepherd the RPT alongside site permitting. Both parties commit to the RPT pathway. Carbotura brings the process-classification evidence, regulatory engagement expertise from prior ACM deployments, and the legal-technical framework. The counterparty brings the standing to engage the local regulator, the political mandate for the transition, and — where applicable — legacy statutory authorities that can be re-instrumented for manufacturing use. The endpoint is categorical: manufacturing classification across all permitting, licensing, and regulatory contexts. Interim bridging authorities may apply during the transition.
Elevated Material Status — Puerto Rico-specific: Manufacturing NAICS eligibility (311–339) is the simultaneous precondition for: (a) ACM operational permitting under RCRA; (b) Act 60 Chapter 6 Manufacturing Tax Exemption Decree under OITE / DDEC; (c) Act 60 Ch. 6 property tax and municipal license exemptions; (d) FTZ #163 Ponce manufacturing-zone designation. A single classification determines four distinct legal and fiscal regimes. There is no pathway to this engagement under a solid waste NAICS code.

For Puerto Rico's $145/ton FWDC, the formula-implied fee is $140/ton.
Puerto Rico specific: $120/ton base — a $20/ton reduction below the formula-implied rate, reflecting value passed through to the Territory from the Act 60 Chapter 6 + FTZ #163 + QOZ incentive stack. Rather than retaining this savings within the SPV return profile, the pricing passes the incentive benefit to the Commonwealth at the fee line.

FWDC is ESTIMATED from DRNA consolidated filings, ASCE Infrastructure Report Card, and EPA Region 2 operational records, with a capacity-crisis forward curve premium reflecting the FEMA/EPA 2028–2030 exhaustion window. The $120/ton TMC base sits above the $100 B2G floor parameter but below the formula-implied $140 because of the Act 60 Chapter 6 + FTZ #163 + QOZ incentive stack benefits passed through to the Commonwealth at the fee line. FWDC and TMC basis are re-confirmable through the Joint Working Group phase data exchange in the 3-month post-commercial-decision window.

Note: Regional economic effects are GDP / employment impacts; they do not transfer to Commonwealth treasury. They are distinct from Fiscal Effects in §7.1.

Act 60 Chapter 6 decree value: The Commonwealth foregoes some direct taxation on SPV industrial development income to secure: (a) ~$1.17B private capital deployment with zero territorial capex; (b) 30-year anchored feedstock solution; (c) 505 direct and indirect jobs; (d) $4.8B cumulative royalty stream; (e) federally-backstopped infrastructure resilience.
§8 — Why This Works in Puerto Rico§8 — Por Qué Funciona en Puerto Rico
- Volume alignment.Alineación de volumen. Territorial MSW generation of ~10,000 TPD materially exceeds the 2,000 TPD Phase Expanded deployment. Addressable-feedstock-to-deployment ratio = 5×, providing substantial Phase Initial headroom and long-tail Phase Expanded supply security throughout the 30-year CSA term.
- Infrastructure alignment.Alineación de infraestructura. Priority 1 site at Ponce Industrial Corridor sits inside FTZ #163, adjacent to Port of Ponce, with PR-52 and PR-2 arterial access to South Coast feedstock generators. Phase Initial is immediately supportable without third-party contract renegotiation.
- Contract timing alignment.Alineación de cronograma de contrato. Hard-deadline convergence — EPA Consent Order closures (2025–2028), FEMA/EPA capacity exhaustion (2028–2030), CDBG-MIT closure funds deployment (2025–2028) — generates a Q3 2026 procurement decision window. Phase Initial COD Q1 2029 arrives at the onset of peak capacity stress.
Act 60 Chapter 6 Manufacturing Tax Exemption Decree issues under NAICS 311–339 manufacturing classification — the same classification band required by the Regulatory Predicate Transition (RPT) (§1.0). The Commonwealth's tax-free manufacturing framework is structurally engineered to admit exactly the ACM operational model; the RPT and Act 60 are mutually-reinforcing legal instruments, not independent requirements.
- Regulatory driver.Impulsor regulatorio. DRNA's February 2026 public reconsideration of waste-to-energy alternatives confirms the Commonwealth is actively searching for non-landfill disposal pathways. Carbotura's offer is structurally non-competitive with incineration — non-combustion manufacturing — and addresses the capacity crisis through a legally and politically distinct pathway.
- Economics specificity.Especificidad económica. Beneficiation Fee of $120/ton is derived from the Puerto Rico-specific FWDC build-up ($145/ton) with a $20/ton reduction passed through from the Act 60 + FTZ + QOZ incentive stack. The fee reflects this territory's cost structure, not a mainland default parameter.
The Commonwealth's sovereign credit position (S&P: D, negative outlook; Moody's: withdrawn 2021; PROMESA Oversight Board active) renders conventional GO-backed procurement structures unavailable. Carbotura's SPV financing is engineered to synthesize investment-grade project-level credit through a five-layer architecture. This architecture is a condition of the $1.17B CapEx commitment; it is not optional.
Target synthesized credit profile: Investment grade at the project / senior-tranche level, underwriting comparable to AA-rated US municipal infrastructure, despite Commonwealth sovereign position.

All four instruments operate on manufacturing NAICS eligibility (311–339). The Regulatory Predicate Transition (RPT) in §1.0 is the structural foundation for all four.
